These Terms govern business use of the NameN service. Before external use, the actual legal operator, address, registration details, and merchant/tax position must be inserted and reviewed.

1. Business eligibility and authority

You may use the service only if you are at least 18 and act for a business or professional organisation. By submitting a Quick Scan or placing an order, you confirm that you are authorised to provide the submitted business information and to accept these Terms for the relevant clinic or business.

The MVP is not offered to patients or for personal, family, or household use.

2. The service

NameN measures how selected consumer-facing AI services respond to versioned, location-specific business-recommendation scenarios. Available products may include:

  • one free fast Quick Scan per eligible email/account;
  • a separately purchased Verified AI Visibility Baseline;
  • a separately purchased Fix Pack only when current evidence shows a material controllable problem for which a realistic corrective recommendation can be prepared;
  • Monitoring after its separate launch gates are passed and the product is made available to eligible customers.

A Baseline is complete on its own. We do not hide essential paid findings to force a Fix Pack sale. A Fix Pack contains recommendations only; we do not edit, publish, or operate the customer's website or third-party profiles.

3. Measurement limitations

AI and search outputs change and may vary by time, location, surface availability, session state, and provider behaviour. A report is a dated, versioned observation under the disclosed method, not a promise that every person will see the same answer.

We distinguish recommendation, mention, absence, unavailable, and inconclusive results. We do not guarantee ranking, citation, traffic, leads, patients, revenue, or improvement. Monitoring observes later movement; it does not prove that a recommendation caused a change.

The AI Measurement Disclaimer forms part of these Terms.

4. Customer responsibilities

You must:

  • provide accurate business ground truth and correct material errors promptly;
  • use the service lawfully and only for an eligible business;
  • have the necessary rights to submitted text, URLs, images, PDFs, and other material;
  • keep access links and account sessions secure;
  • independently review recommendations before implementing them;
  • not submit patient-identifiable data or PHI;
  • not interfere with, reverse engineer, scrape, overload, bypass, or misuse the service or third-party measurement surfaces;
  • not use reports to make false, deceptive, medical, discriminatory, or unlawful claims.

5. Orders, prices, and delivery

Current product prices and scope are shown before payment. Draft MVP prices are:

  • Quick Scan: $0;
  • Baseline: $199 one-time;
  • eligible Fix Pack: $99 one-time;
  • when released, Monthly Monitoring: $199/month;
  • when released, Annual Monitoring: $1,999/year prepaid.

Prices are in US dollars before applicable taxes. The checkout displays the amount, tax, product, billing interval, and renewal terms before the customer confirms payment.

The concierge Baseline and eligible Fix Pack delivery target is three business days after successful payment and receipt of complete required information. Customer-caused waiting time is outside that clock. A business day is Monday to Friday in the clinic market's local time; US public holidays are not automatically excluded.

6. Refunds and cancellation

The Payment, Refund and Cancellation Policy forms part of these Terms.

For a Baseline, if we cannot deliver the agreed minimum scope or materially miss the promised deadline, the customer may choose a rerun or full refund. The report offers the included rerun directly; refund help starts through support in the Account area and is reviewed under the Payment, Refund and Cancellation Policy. A low score, lack of recommendation, or lack of later improvement is not by itself refundable.

When Monitoring becomes available, it renews automatically until cancelled. The customer must receive material renewal terms before enrolment and provide express consent. Cancellation stops the next renewal and keeps access through the paid period. A started period is normally non-refundable and is not prorated, subject to duplicate charges, payment error, material service failure, and mandatory law.

7. Third-party services

The service depends on independent AI, search, hosting, email, authentication, payment, and infrastructure providers. We do not control their availability, output, policies, or changes. An unavailable surface is disclosed and is not treated as a negative result. Provider failure is handled under the stated coverage, rerun, refund, and support rules.

8. Customer material and permission

The customer keeps its rights in submitted material. The customer grants us a limited permission to host, copy, analyse, transform, and display that material only as needed to provide, secure, support, and improve the contracted service under the Privacy Notice.

The customer authorises us to observe and store public business information and consumer-facing AI/search evidence for the requested market and report. The customer is responsible for deciding whether and how to use or share a downloadable report.

9. Our materials

We and our licensors retain rights in the service, method, software, templates, report structure, and non-customer materials. Subject to payment and these Terms, the customer receives a non-exclusive right to use and share its delivered report for its own business purposes. The customer may not resell, white-label, or systematically reproduce the service or method without written permission.

10. Confidentiality

Each party must use reasonable care to protect non-public information received from the other and use it only for the service relationship. This does not cover information that is public without breach, already lawfully known, independently developed, or lawfully received from another source. Required disclosure is permitted when legally compelled, with notice where lawful.

11. Suspension and termination

We may restrict or suspend access when reasonably necessary to address security, unlawful use, non-payment, provider failure, or a material breach. Where practical, we will explain the reason and allow cure.

The customer may stop using the free or one-time service at any time and may delete the account through the Privacy Center. Cancellation of Monitoring does not delete data. After a paid period ends, purchased and delivered results remain read-only until verified account deletion, subject to the retention policy.

12. Disclaimers

The service is provided with reasonable care and skill, but measurement outputs, third-party availability, and future business outcomes cannot be guaranteed. Recommendations are general business information, not legal, medical, financial, tax, or professional clinical advice. The customer remains responsible for its business, website, advertising, healthcare, and compliance decisions.

Nothing in these Terms excludes an express product promise, the stated refund remedy, or any right or liability that cannot lawfully be excluded.

13. Liability

Nothing limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, deliberate misconduct, or any other liability that cannot lawfully be limited.

Subject to that sentence, neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill, or anticipated savings that was not reasonably foreseeable. Our aggregate liability arising from the service is limited to the greater of $500 or the amount the customer paid to NameN in the 12 months before the event giving rise to the claim. This draft cap and its exclusions require review for reasonableness and the actual operator/customer jurisdictions before publication.

14. Changes

We may change the service or these Terms prospectively. Material changes will be communicated before they apply where required. Changes do not remove an already purchased deliverable or retroactively alter an order without agreement or lawful basis. The accepted Terms version and timestamp are retained.

15. Governing law and disputes

These Terms and non-contractual disputes arising from them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, unless mandatory applicable law requires otherwise.

This choice does not remove non-waivable rights, duties, remedies, or jurisdiction that apply because of the operator's location, the customer's location, data processing, payments, subscriptions, or another mandatory connection.

Before litigation, each party should send a written dispute notice to the other and allow 30 days for a good-faith attempt to resolve it, unless urgent relief or a statutory deadline makes that inappropriate.
